1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your use of our website and the web design, development, digital marketing, and related technology services ("Services") provided by Nihon Infotech. By accessing our website, engaging our services, or entering into any agreement with us, you ("Client," "you," or "your") agree to be bound by these Terms.

If you do not agree with these Terms, you must not use our website or services. We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting on our website. Your continued use of our services after such modifications constitutes your acceptance of the modified Terms.

2. Services Description

Nihon Infotech is a web agency that provides a range of digital services, including but not limited to:

• Website design and development
• Custom web applications and software development
• E-commerce solutions
• Search Engine Optimization (SEO)
• Digital marketing and advertising
• Social media management
• Content management systems (CMS) development
• Website maintenance and support
• UI/UX design services
• Mobile app development

The specific services to be provided will be detailed in a separate project agreement, statement of work, or service contract ("Project Agreement") between Nihon Infotech and the Client. In case of any conflict between these Terms and a Project Agreement, the Project Agreement shall prevail.

3. Client Responsibilities

To enable us to provide our Services effectively, the Client agrees to:

• Provide accurate, complete, and timely information, content, materials, and feedback required for the project
• Respond promptly to requests for approvals, feedback, or additional information
• Obtain and maintain all necessary licenses, permissions, and rights for any content, materials, or intellectual property provided to us
• Ensure that all content provided does not infringe upon any third-party rights, including copyrights, trademarks, or privacy rights
• Provide access to necessary systems, servers, domains, or accounts as required for project execution
• Make timely payments as specified in the Project Agreement
• Appoint a designated representative authorized to make decisions and approvals on behalf of the Client

Delays caused by the Client's failure to fulfill these responsibilities may result in project delays and additional costs, which shall be the Client's responsibility.

4. Payment Terms

Payment terms will be specified in the Project Agreement. Generally, our payment terms include:

• An initial deposit or retainer fee is required to commence work on any project
• Milestone payments based on project progress and deliverables
• All invoices are due within the payment terms specified in the Project Agreement (typically 15-30 days from invoice date)
• Late payment may result in suspension of work and may incur late fees
• All fees are quoted in the currency specified in the Project Agreement
• Prices exclude applicable taxes, which will be added to invoices as required by law

Payment is required before final deliverables are released or websites are launched. We reserve the right to withhold services, deliverables, or website access until all outstanding payments are received.

5. Refund and Payment Adjustment Policy

NO REFUNDS: All payments made to Nihon Infotech are final. We do not provide refunds for any services, deposits, or payments made, regardless of the project status, completion, or cancellation.

FUND ADJUSTMENT: In exceptional circumstances and only by mutual written agreement between Nihon Infotech and the Client, funds may be adjusted or credited toward future services. Any such adjustment must be:

• Mutually agreed upon in writing by both parties
• Documented through an official written agreement or amendment
• Subject to our review and approval on a case-by-case basis
• Applied only to future services provided by Nihon Infotech
• Valid for a specified period as agreed upon in writing

Any work completed, time invested, or expenses incurred prior to cancellation or modification of a project is non-refundable. The Client acknowledges that they have read and understood this no-refund policy before making any payment.

6. Project Timelines and Delays

Project timelines and delivery dates will be specified in the Project Agreement. While we strive to meet all deadlines:

• Timeline estimates are provided in good faith but are subject to change based on project complexity, scope changes, and client responsiveness
• Delays caused by the Client (including delayed approvals, content provision, or feedback) will extend the project timeline accordingly
• We are not liable for delays caused by third-party services, hosting providers, domain registrars, or circumstances beyond our reasonable control
• Rush requests or expedited timelines may incur additional fees

Scope changes requested by the Client may result in timeline extensions and additional costs, which will be communicated and agreed upon before implementation.

7. Intellectual Property Rights

Client Content: The Client retains all rights, title, and interest in any content, materials, trademarks, logos, or intellectual property provided by the Client to Nihon Infotech.

Custom Work: Upon full payment of all fees, the Client will receive ownership rights to the custom work specifically created for their project as outlined in the Project Agreement. This includes custom designs, code, and functionality developed exclusively for the Client.

Pre-existing and Third-Party Materials: Nihon Infotech retains all rights to:

• Pre-existing code, frameworks, libraries, and tools used in projects
• Proprietary methodologies, processes, and know-how
• Third-party software, plugins, and services licensed for use (subject to their respective license terms)
• Generic code, templates, or components not specifically created for the Client

Portfolio Rights: Nihon Infotech retains the right to showcase completed work in our portfolio, marketing materials, and case studies, unless otherwise agreed upon in writing.

8. Revisions and Change Requests

The Project Agreement will specify the number of revision rounds included in the base project fee. Additional revisions or significant change requests beyond the agreed scope may incur additional fees. Minor corrections and bug fixes are typically included in our service. Change requests must be submitted in writing, and we will provide estimates for any additional costs before proceeding.

9. Website Hosting and Maintenance

Unless otherwise specified in the Project Agreement:

• Website hosting and domain registration are the Client's responsibility
• We can recommend hosting providers and assist with setup, but hosting fees are separate from our service fees
• Post-launch maintenance and support services are available separately and may require a separate maintenance agreement
• We are not responsible for website downtime, security breaches, or issues caused by hosting providers or third-party services

10. Confidentiality

We respect the confidentiality of Client information and project details. We agree to:

• Keep all Client information, business data, and project details confidential
• Not disclose confidential information to third parties without Client consent
• Use confidential information solely for the purpose of providing our Services

This confidentiality obligation does not apply to information that is publicly available, independently developed by us, or required to be disclosed by law.

11. Limitation of Liability

To the maximum extent permitted by law:

• Nihon Infotech's total liability for any claims, damages, or losses arising from our Services shall not exceed the total amount paid by the Client to Nihon Infotech for the specific project giving rise to the claim
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
• We are not responsible for issues arising from third-party services, hosting providers, domain registrars, or other external factors
• We are not liable for any damages resulting from Client's use of the deliverables in ways not intended or approved by us

The Client agrees to indemnify and hold Nihon Infotech harmless from any claims, damages, or expenses arising from:

• Content or materials provided by the Client that infringe upon third-party rights
• The Client's use of our deliverables in violation of applicable laws or regulations
• Any misrepresentation or breach of these Terms by the Client

12. Warranties and Disclaimers

We warrant that our Services will be provided with reasonable skill and care in accordance with industry standards. However:

• We do not guarantee that our Services will be error-free, uninterrupted, or meet all of the Client's specific requirements
• We do not warrant compatibility with all browsers, devices, or operating systems unless specifically agreed upon
• Search engine rankings and SEO results cannot be guaranteed, as they depend on many external factors
• All deliverables are provided "as is" without warranties of any kind, express or implied, except as specifically stated in the Project Agreement

13. Termination

Either party may terminate a Project Agreement:

• By mutual written agreement
• If the other party breaches a material term and fails to cure such breach within a reasonable time after written notice
• For convenience, subject to the terms specified in the Project Agreement regarding payment for work completed

Upon termination:

• The Client must pay for all work completed and expenses incurred up to the termination date
• We will deliver completed work as of the termination date, subject to full payment
• Both parties' confidentiality obligations shall survive termination
• Our no-refund policy applies to all payments made prior to termination

14. Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, internet outages, power failures, or government actions. In such cases, we will make reasonable efforts to notify the Client and resume performance as soon as practicable.

15. Dispute Resolution

In the event of any dispute arising from these Terms or our Services, both parties agree to first attempt to resolve the matter through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration or in accordance with the dispute resolution process specified in the Project Agreement, if any. These Terms shall be governed by and construed in accordance with applicable laws.

16. General Provisions

These Terms, together with the Project Agreement, constitute the entire agreement between the parties. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of such right. You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
